Inhaltsangabe:Gang der Untersuchung: Die Liquidation (Beendigung) einer Unternehmung ist ein im Wirtschaftsleben recht häufig auftretende Erscheinung, insbesondere weil man die Abgrenzung zum Konkursverfahren beachten muß. Die Arbeit verschafft einen strukturierten Überblick über die Thematik Liquidation einer Unternehmung, speziell der Kapitalgesellschaft, und versucht vor allem, die Beiträge in Standardwerken zu diesem Thema durch spezielle Literatur und Quellen zu ergänzen bzw. auszubauen. Einen besonderen Schwerpunkt hierbei bildet die strikte Unterscheidung in Handelsrecht einerseits und Steuerrecht andererseits, da es sich hierbei im Fall der Liquidation um 'zwei Paar Schuhe' handelt. Im handelsrechtlichen Teil werden zunächst verschiedene Arten der Liquidation unterschieden und dann die rechtlichen Folgen der Liquidationsphase vorgestellt und erläutert, da es hier zu erheblichen Änderungen gegenüber dem werbenden Unternehmen kommen kann. Der steuerrechtliche Teil befaßt sich zunächst mit den steuerlichen Vorschriften einer Unternehmung im Liquidationsfall und geht anschließend auf spezielle Bereiche des nationalen und internationalen Steuerrechts im Liquidationsfall ein. Abschließend ergänzt wird die Arbeit durch ein ausführliches Fallbeispiel, das der Verfasser selbst konstruiert hat und bei dem vor allem die steuerlichen Folgen der Liquidation auf Gesellschafts- und Gesellschafterebene verdeutlicht werden. Aus dem Literaturverzeichnis können weitere Hinweise zu weiterführender Literatur entnommen werden.
