Inhaltsangabe:Einleitung: Die Unternehmensnachfolge ist ein sehr komplexes und aktuelles Themengebiet. In dieser Arbeit wird der spezielle Fall der Umwandlung eines Einzelunternehmens in eine GmbH und die Nachfolge über GmbH-Geschäftsanteile untersucht. Sie stellt eine Orientierungshilfe bei der Planung der Unternehmensnachfolge dar und gibt Anregungen zur Gestaltung. Zunächst werden die rechtlichen Voraussetzungen und Besonderheiten des GmbH-Rechts erläutert. Diese Gestaltung ist bewußt so gewählt, da die Umwandlung des Einzelunternehmens in eine GmbH ein wesentlicher Schritt für das Unternehmen ist. Der Leser hat so die Möglichkeit, einen schnellen Überblick über die relevanten Punkte des GmbH-Rechts zu erhalten. Anschließend werden die handelsrechtlichen und steuerlichen Auswirkungen einer Umwandlung erläutert. Insbesondere wird auch auf die verschiedenen Gestaltungsmöglichkeiten eingegangen. Die so entstandenen GmbH-Geschäftsanteile können dann im Wege der vorweggenommenen Erbfolge auf einen Nachfolger übertragen werden. Dargestellt sind die steuerlichen Auswirkungen und Gestaltungsmöglichkeiten der Übertragung von GmbH-Geschäftsanteilen. Zur vereinfachten Darstellung dieses komplexen Sachverhalts sind in der Anlage mehrere Beispiele zu den verschiedenen Gestaltungsmöglichkeiten der Umwandlung und den einkommen- und schenkungsteuerlichen Auswirkungen der Anteilsübertragung aufgeführt. Diese Beispiele sind besonders praxisnah gestaltet. Eine geplante Umwandlung oder eine Anteilsübertragung im Wege der vorweggenommenen Erbfolge kann mit Hilfe dieser vereinfachten Darstellung sehr gut nachvollzogen werden.
