A governação empresarial pode ser interpretada como a responsabilidade de uma empresa no contexto de regulamentos destinados a determinar os objectivos dessa empresa. A este respeito, a governação empresarial é um processo através do qual uma empresa demonstra a sua capacidade de atrair e reter os seus recursos financeiros, juntamente com os recursos humanos, de uma forma que não prejudique os interesses das aplicações do sector público ou privado. Por outras palavras, as empresas de governação empresarial procuram atrair capital e recursos humanos, com um desempenho eficaz, a fim de atingir os seus objectivos, cumprindo as obrigações legais, as expectativas sociais, as legislações, os regulamentos e as aplicações voluntárias do sector privado. Enquanto a gestão expressa a realização no planeamento, organização e coordenação, também controla as actividades para atingir determinados objectivos. A governação empresarial também está interessada na forma como os benefícios dos grupos de interesse se reflectem nos objectivos organizacionais e na sua satisfação quando todas estas actividades são realizadas no final. O conceito de governação empresarial é como um guarda-chuva que engloba uma vasta gama de funções de gestão.
