Inhaltsangabe:Gang der Untersuchung: Nach einleitenden Bemerkungen werden zunächst im Abschnitt Theoretische Grundkonzepte die Neue Institutionenökonomie und der Shareholder-Value-Ansatz in der gebotenen Kürze dargestellt. Der kritischen Betrachtung von AOP im Hauptteil ist eine Einführung in die Corporate Governance vorangestellt. Durch die Eingliederung der Corporate Governance in den Hauptteil der Arbeit soll ihr Stellenwert als Einsatzrahmen für Aktienoptionsprogramme unterstrichen werden. Neben sinnvollen Gestaltungsmöglichkeiten werden dann Vorteile, die den Einsatz von AOP rechtfertigen, und Nachteile, die ihn begrenzen, diskutiert. Ausführungen zu den empirisch gefundenen Wirkungen von AOP und eine Zusammenfassung beschließen den Hauptteil der Arbeit. Im nachfolgenden empirischen Teil wird die Beziehung von AOP mit vier unternehmensspezifischen Faktoren untersucht. Diese Analyse dient der Überprüfung von theoretisch abgeleiteten Hypothesen und soll den vorangegangenen Teil abrunden. In einer abschließenden Zusammenfassung zur Arbeit werden die gewonnenen Erkenntnisse resümiert. Abstract: This paper examines the advantages and disadvantages of stock option plans. After a description of the fundamental concepts of agency theory and shareholder value, stock option plans are discussed in the context of corporate governance. In consideration of benefits and handicaps stock option plans are shown to be an effective tool for an interest realignment between shareholders and management. In an additional empirical analysis the connection of stock option plans with four factors is investigated. There are strong indications that German companies with a small Board (Aufsichtsrat) are more likely to establish stock option plans. This is consistent with other empirical studies.
