Niniejszy podręcznik zawiera przystępną ocenę i analizę saudyjskiego kodeksu ładu korporacyjnego oraz jego wpływu na niektóre z dużych spółek notowanych na saudyjskiej giełdzie papierów wartościowych przed i po wdrożeniu saudyjskiego kodeksu ładu korporacyjnego (SCGC) w 2006 roku. Celem jest ustalenie, czy saudyjski kodeks ładu korporacyjnego zapewnia ochronę akcjonariuszy. W niniejszym podręczniku przedstawione zostanie podstawowe porównanie kodeksu saudyjskiego z kodeksem brytyjskim w celu zidentyfikowania podobieństw i różnic między nimi, a także znalezienia obszarów słabości kodeksu saudyjskiego. W rozdziale poświęconym przeglądowi literatury omówione zostaną zasady i historyczne tło ładu korporacyjnego, teoria agencji i różne modele w odniesieniu do akcjonariuszy i interesariuszy. Doprowadzi to do wprowadzenia celu niniejszego podręcznika w odniesieniu do kodeksu saudyjskiego. Metodologia tego podręcznika to metoda mieszana, w której zastosowano komponenty jakościowe i ilościowe, aby osiągnąć cel i założenia badania. Wyniki pokazują, że SCGC jest niewystarczający do ochrony akcjonariuszy, ponieważ niektóre części kodeksu nie nakładają obowiązku jego przestrzegania. Jest on mniej skuteczny niż kodeks brytyjski.
