Nos acórdãos do Tribunal Federal de Justiça Centros, Überseeing e Inspire Art, o Tribunal de Justiça Europeu reforçou ainda mais a liberdade de estabelecimento na Europa e derrubou a teoria da sede, vigente em vários Estados. Consequentemente, isto significa que as sociedades estrangeiras podem abrir sucursais na Alemanha, mantendo a sua identidade societária. Isto inclui, naturalmente, a aplicação do direito estrangeiro em território alemão. No seu acórdão de 13 de março de 2003, o Tribunal Federal de Justiça confirmou este facto, criando assim clareza jurídica. Por conseguinte, a questão problemática é saber quem deve apresentar um pedido de insolvência e quando, bem como quem, eventualmente, é responsável pelos pagamentos efetuados após a ocorrência dos factos que determinam a insolvência. É precisamente a questão de saber quem assume essa responsabilidade no caso de uma Limited inglesa que mantém uma sucursal na Alemanha que se pretende destacar neste trabalho.
