É, portanto, paradoxal que um acionista, inicialmente visto como um simples investidor, se encontre no centro das decisões estratégicas e dos assuntos sociais.Este envolvimento é ainda mais acentuado no setor bancário, especialmente em situações de crise. Ele é expressamente solicitado pelo governador do Banco Central da Tunísia (BCT) para participar na recuperação do banco em dificuldades. Esta evolução levanta questões sobre a natureza da sua responsabilidade: ainda se pode falar de responsabilidade limitada quando o acionista de referência se torna um interveniente incontornável na recuperação bancária? Face a esta mudança, é necessário refletir sobre o enquadramento jurídico do papel do acionista de referência.
