En droit de l’Union européenne et en droit français des pratiques anticoncurrentielles, le terme entreprise occupe une place prépondérante. Son interprétation par les juridictions de contrôle des autorités de concurrence a répondu à des exigences d’effectivité des règles de concurrence : dépasser les apparences juridiques pour appréhender la réalité économique dans le but, notamment, d’engager la responsabilité des sociétés mères au sein d’un groupe ou encore celle d’une société, successeur juridique ou économique, d’une autre, en cas de restructurations sociétaires. Dans cet ouvrage, Etienne Thomas dresse un panorama complet de la notion d’entreprise contrevenante. La première partie s’intéresse à la détermination de l’auteur de l’infraction, tandis que la seconde discute de l’identité du débiteur de l’amende. S’appuyant sur une analyse minutieuse de la jurisprudence européenne et française, l’auteur parvient à démontrer très clairement que certains raisonnements demeurent, encore aujourd’hui, inaboutis et propose dès lors une lecture différente de la notion d’entreprise contrevenante.
