​Die Auswahlprozesse deutscher Aufsichtsräte erfahren in der Öffentlichkeit eine immer höhere Auf-merk¬samkeit aufgrund der wahrgenommenen Kompetenzmängel der Mandatsträger. Sebastian Barth nimmt dies zum Anlass, die für die Nominierungsprozesse wesentlichen Kontextfaktoren entlang eines für den deutschsprachigen Raum einzigartigen empirischen Datenmaterials von 172 Interviews in DAX-30- und MDAX-Unternehmen aufzuarbeiten. Er zeigt auf, dass drei Prozesstreiber - der Auf¬sichts¬rats-vorsitzende, der Vorstandsvorsitzende und die Großaktionärsvertreter - die Nominierung prägen und kaum weitere Mitglieder partizipieren lassen. Nur bei einem der fünf ermittelten Kontexttypen kommt es zu einer breiteren Einbindung und damit zu den gewünschten positiven Effekten durch die Nominie-rungs¬ausschussbildung.
