In erster Linie werden die Tragweite des Unternehmensfreiheitskonzepts sowie die zugrundeliegenden Code de commerce und Tribunal de commerce dargelegt. Es wird auf die Grundbegriffe der Kaufmannschaft wie die Rechtsstellung der Kaufleute, die französischen Unternehmensstrukturen und die strafrechtlich belegte Haftung des Geschäftsführers eingegangen. Ebenso werden die Unternehmensrisiken der Insolvenz und die dagegen ausgerichteten Finanzierungsinstrumente betrachtet.
