Cet ouvrage identifie les coûts d’efficacité dans les enchères de contrôle d’entreprises faussées par la possibilité pour les acquéreurs potentiels de tirer des avantages privés du contrôle de l’entreprise mise aux enchères. Ces coûts peuvent entraîner des transferts de contrôle sous-optimaux dans la mesure où la valeur actuelle de tous les avantages privés futurs constitue un élément de l’évaluation de la cible par les soumissionnaires concurrents. Pour éviter ces coûts d’efficacité, l’ouvrage propose un mécanisme de bons de souscription dilutifs. Ce mécanisme repose essentiellement sur l’hypothèse que les primes de contrôle par rapport au cours de bourse de l’action cible après l’acquisition reflètent des avantages privés. Ainsi, les bons de dilution confèrent : (1) aux actionnaires minoritaires de la cible une possibilité de compensation ; et (2) aux acquéreurs potentiels une dissuasion de payer une prime dans la perspective de tirer des avantages privés du contrôle.
